The Client acknowledges that all intellectual property rights in any work produced by the Agency shall remain the property of the Agency.
The Agency grants the Client a non-exclusive, non-transferable license to use any work produced by the Agency solely for the purpose for which it was created.
The Agency and the Client agree to keep all confidential information provided by each other confidential, and not to disclose it to any third party without the prior written consent of the disclosing party
This clause shall survive the termination or expiration of the contract.
Either party may terminate the contract at any time by giving written notice to the other party.
In the event of termination, the Client shall pay the Agency for all services provided up to the date of termination.
By agreeing to these terms and conditions, the Client gives the Agency permission to send email notifications and marketing materials related to the services provided by the Agency.
The Client has the right to opt-out of receiving email notifications and marketing materials at any time by contacting the Agency in writing.
This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Agency is located.
Any dispute arising out of or in connection with this agreement shall be resolved by arbitration in accordance with the rules of the jurisdiction in which the Agency is located.
This agreement contains the entire understanding of the parties with respect to the subject matter hereof, and supersedes all prior negotiations, understandings, and agreements between the parties.
This agreement may not be modified except in writing signed by both parties.
